Fair Market Value
An ESOP valuation must incorporate all of the traditional “fair market value” issues in the analysis, including control premiums, and discounts for lack of marketability (DLOM) and must also conform to regulations concerning the definition of “adequate consideration.” ESOP valuations must be able to withstand a challenge from employees, the Internal Revenue Service and the U.S. Department of Labor, both of which have enforcement responsibility for ESOPs. The DOL has the responsibility for administering the ERISA regulations for ESOPs.
